General Terms and Conditions
Version: 26 October 2026
Translation for convenience; the German version is legally binding.
1. Scope and contracting parties
These terms apply to all contracts between Lukas Köppl, Kiawak, Kolpingstraße 24, 84030 Ergolding, Germany ("Kiawak"), and its clients ("Customer") for the setup and operation of AI phone agents, AI chat assistants, automations, websites, 3D and virtual tours as well as related consulting and ongoing care. The offer is aimed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code); no contract is concluded with consumers. Deviating terms of the Customer apply only if Kiawak agrees to them in writing.
2. Services
The type and scope of the service follow from the respective offer. Kiawak provides services and works according to the recognised state of the art. A specific economic result is not owed. AI-based functions deliver automatically generated answers that can contain mistakes; the Customer ensures appropriate human control wherever decisions have legal or economic effect.
3. Offer and conclusion of contract
Every project starts with a free first call. Presentations on the website are non-binding. The contract is concluded by Kiawak's written offer and its acceptance by the Customer (also by e-mail). Only the services and fixed prices named in the offer are binding.
4. Prices and payment
The prices agreed in the offer apply. As a small business within the meaning of § 19 UStG (German VAT Act) Kiawak does not charge VAT; the prices stated are final prices. Setup fees are due on acceptance, running monthly fees in advance. Invoices are payable within 14 days without deduction. Costs for a phone number and additional call minutes or usage beyond the agreed volume are passed on transparently and without mark-up.
5. Term and termination
One-off setup services end with acceptance. Running monthly services (operation, care) run for at least 3 months and can then be terminated monthly with 14 days' notice to the end of a month. Termination requires text form (e.g. e-mail). The right to extraordinary termination for good cause remains unaffected.
6. Cooperation of the Customer
The Customer provides the information, content and access required for the service in good time and names a contact person. The Customer is responsible for the correctness of the content provided. Delays caused by missing cooperation are not at Kiawak's expense.
7. Availability
Kiawak strives for high availability of the services but does not owe a specific availability unless expressly agreed. For outages of third-party services used (e.g. telephony, AI providers, hosting) Kiawak is liable only within the limits of section 8.
8. Liability
Kiawak is liable without limitation for intent and gross negligence as well as for damage resulting from injury to life, body or health. In cases of slight negligence Kiawak is liable only for the breach of an essential contractual obligation (cardinal obligation) and limited to the foreseeable damage typical for the contract. Any further liability is excluded. Liability under the German Product Liability Act remains unaffected.
9. Data protection and processing on behalf
Kiawak processes personal data according to the privacy policy. Where Kiawak processes personal data on behalf of the Customer, the parties conclude a data processing agreement under Art. 28 GDPR.
10. Final provisions
German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. If the Customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Kiawak's registered seat. Amendments and additions require text form. Should a provision be invalid, the rest of the contract remains valid.
